This Property Management Agreement ("Agreement") is made and entered into as of [DATE] by and between:

Hold Harmless: Owner agrees to hold harmless and indemnify Property Manager from and against any and all claims, liabilities, losses, damages, or expenses arising out of or in connection with the management of the Property, except for those caused by Property Manager's gross negligence or willful misconduct.
